Incentive Programs

There are many types of incentive programs — each with different tax implications. In Sweden, the most common forms include bonuses, employee stock options, qualified employee stock options, warrants, synthetic options, and various types of share savings plans. In international corporate groups, contractual options and so-called Restricted Stock Units (RSUs) are also frequently used, meaning that Swedish companies and employees may need to manage these models as well.

It is also possible to create incentive programs through ownership in special Management Incentive Plan (MIP) companies. The most suitable solution depends entirely on the specific circumstances and the goals to be achieved — whether it is long-term loyalty, performance-based incentives, or exit readiness.

Owl Advokat AB has extensive experience in designing tailored and tax-efficient incentive programs for startups as well as publicly listed companies, private equity firms, portfolio companies, and funds. We support clients throughout the entire process — from strategic analysis to implementation — always focusing on creating incentives that truly work in practice and target the right individuals.
